Definitions:

“The Supplier” means Digitalrev Limited (or ‘Digitalrev’)
“The Buyer” means B2B Client Company or Individual.
“Goods” means any goods agreed in the accepted order form to be supplied by the Company to the Buyer;
“Place of Delivery” means the place to which the Goods are to be delivered.
The term “the Supplier”, “Digitalrev Limited”, “Digitalrev” and “Digitalrev B2B” may be interchangeable in this document. They all mean Digitalrev Limited.
In these Terms, reference to any statute or statutory provision shall be construed as a reference to such statute or statutory provision as amended, modified, re-enacted or replaced from time-to-time.
 
Procedure:
1 The Buyer is given a list of product prices via the Supplier’s B2B portal.
2 The Buyer could either place orders using the order forms provided by the Supplier or visit our B2B Website (www.digitalrev.biz)..
3 The Supplier invoices the Buyer.
4 The Buyer makes payment.
5 Goods are dispatched within 2 working days once the payment is received and cleared.
 
Products:
6 The supplier will ensure that all products supplied (unless specified in advance) are brand new products with all original manufacturer’s accessories.
7 The supplier will ensure that the power adapter included is suitable for the destination country. For example items delivered to the UK will have the 3-pins UK power adapter included (if power adapter is part of the product’s content).
8 The supplier will include an English version of user manual with all products, whenever possible. However in case when original English user manual is not available, the Buyer accepts that photocopied user manuals are also adequate.
9 If a photo-copied user manual is supplied, the Buyer understand that it is supplied free of charge on the Buyer’s request. The Buyer is solely responsible for the use of these photocopied user manuals.
10 The Supplier is responsible for keeping records of serial numbers (if available) of all products shipped to the Buyer.
11 All payments must be made in full in advance to the delivery of goods, unless a credit facility is provided (subject to credit facility terms and conditions).
12 The Supplier accepts Direct Bank Transfers, TT, BACS (UK), Wire Transfers, Bank Deposits, Cheques in HKD, USD or GBP (Subject to clearance), PayPal (subject to a 3% processing surcharge) as well as credit cards (subject to a 4% processing surcharge and a 3rd-party authorisation form for personal credit cards).
13 The Buyer shall make sure adequate reference is attached with the payments. The Buyer understands that in case the payment reference is missing or incorrect, the payment confirmation could be delayed.
14 The Supplier shall confirm with the buyer once a payment is received and cleared.
15 Your order represents the purchase of product which is accepted by us when we send e-mail confirmation of dispatched product (the "Dispatch Confirmation E-mail"). That acceptance will be complete at the time we send the Dispatch Confirmation E-mail to you. Any product on the same order which we have not confirmed in a Dispatch Confirmation E-mail do not form part of that contract.
16 The Supplier shall endeavour to dispatch the goods within 2 working days once payment is received and cleared. The Supplier cannot dispatch goods on non-working days or Hong Kong Public Holidays.
17 Should the products ordered became unavailable after the payment is made, the Supplier will provide three options to the Buyer as soon as the payment is cleared: a) to accept refund of payment for the products that are not available; b) to wait until the products become available (an estimated available date will be given); c) the Supplier will offer the Buyer credit for the same amount for use for the Buyer’s next order. It is up to the Buyer to choose an option.
18 The shipping options and costs will be specified in the invoice.
19 All shipments are made using traceable delivery methods.
20 Shipping insurance is required, and it is the Buyer’s responsible to pay for the cost of insurance.
21 The Supplier’s responsibility for the safety of the goods ends the moment the goods are picked up by the carrier/delivery company.
22 The Supplier will make necessary assistance to the carrier/delivery company for speedy and safe arrival of the goods.
23 The Supplier will replace lost delivery after the Supplier receives insurance compensation from the carrier/delivery company or insurance company, provided that the insurance premium is paid by the Buyer.
24 The Buyer understands that once the package/parcel/shipment is signed for, the Buyer acknowledges that the goods are arrived in good condition. It may be difficult for the Supplier to claim compensation on damage/loss, should the Buyer signed for deliveries that are later found to be damaged/incomplete. The Buyer agrees to inspect the delivery, before signing.
25 Should the Buyer refuse to accept any delivery, the Buyer understand that a refund can only be made by the Supplier once the Supplier receives the returned shipment undamaged. The Buyer also agrees that the postage is not refundable.
26 It is the Buyer's responsibility to pay all relevant import VAT, custom duty and custom clearance fees required by the Buyer’s local Customs or tax authorities.
27 Should the Buyer require the Supplier to prepare customs declaration, the Supplier will include the invoice for customs declaration purpose.
28 Should the Buyer wish to prepare customs declaration itself, such preparation should be sent to the Supplier prior to the dispatch of the order.
29 The Supplier agrees to accept returns, provided that the Buyer accepts all following conditions:
a.The goods are returned within 7 days after the receipt date. The receipt date is the day the delivery was accepted by the Buyer.
b. The returned goods are kept in re-saleable condition, with all packaging intact, including accessories.
d.The products returned are not any of the followings: batteries, consumables and special clearance items as stated on the invoice.
e.The Supplier and the Buyer should agree on terms and conditions for warranty, prior to the starting of business.
30 The price level offered on the Supplier’s B2B portal may change to reflect the order level of the Buyer.
31 Despite our best efforts, a small number of the thousands of products in our catalogue are mispriced. Rest assured, however, that we verify prices as part of our dispatch procedures. If a product's correct price is lower than our stated price, we charge the lower amount and send you the product. If a product's correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before dispatch or cancel your order and notify you of such cancellation.
32 If you use the B2B website, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer to prevent unauthorised access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner.
33 Please ensure that the details you provide us with are correct and complete and inform us immediately of any changes to the information that you provided when registering. You can access and update much of the information you provided us with in the ‘My B2B’ section on the B2B website.
34 Digitalrev B2B reserves the right to refuse access to the website, terminate accounts, remove or edit contents, or cancel orders at our discretion. If we cancel an order, it will be without charge to you.
35 It is The Buyer’s responsibility to maintain the confidentiality of any pricing information presented on the Digitalrev B2B Website. Any unauthorised disclosure will result in the Buyer’s account to be suspended without warning.
36 In order to maintain B2B website reliability and integrity, maintenance works may need to take place regularly. Such works may affect your site usage, and may interrupt your access to the website. We will do our best to ensure that availability of the website will be uninterrupted and that transmissions will be error-free. However, due to the nature of the Internet, this cannot be guaranteed. Your access to the website may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services.
37 All content included on the website, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Digitalrev Limited, or its content suppliers and is protected by Hong Kong SAR and international copyright and database right laws. The compilation of all content on this website is the exclusive property of Digitalrev Limited and is protected by Hong Kong SAR and international copyright and database right laws. All software used on this website is the property of Digitalrev Limited, or our software suppliers and is protected by Hong Kong and international copyright laws. 
38 You may not systematically extract and/or re-utilise parts of the contents of the website without Digitalrev Limited's express written consent. In particular, you may not utilise any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilisation of any substantial parts of this website, without Digitalrev Limited's express written consent. You also may not create and/or publish your own database that features substantial (eg our prices and product listings) parts of this website without Digitalrev Limited's express written consent.
39 DIGITALREV LIMITED, DIGITALREV, THE DIGITALREV LOGO, PINK GRADIENT BAR and other marks indicated on our website are trademarks or registered trademarks of Digitalrev Limied. Digitalrev Limited's graphics, logos, page headers, button icons, scripts and service names are the trademarks or trade dress of Digitalrev. Digitalrev's trademarks and trade dress may not be used in connection with any product or service that is not Digitalrev's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Digitalrev. All other trademarks not owned by Digitalrev that appear on this website are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Digitalrev.
40 The Contract shall be on these Terms to the exclusion of all other terms and conditions, including any such terms and conditions that are purported to be included or applied by the Buyer.
41 No terms and conditions contained in the confirmation of order, purchase order or other document of the Buyer will form part of the Contract. 
42 When you place an order to purchase a product from Digitalrev B2B, we will send you an e-mail confirming receipt of your order and containing the details of your order. Your order represents an offer to us to purchase a product which is accepted by us when we send e-mail confirmation to you that we've dispatched that product to you (the "Dispatch Confirmation E-mail"). That acceptance will be complete at the time we send the Dispatch Confirmation E-mail to you. Any products on the same order which we have not confirmed in a Dispatch Confirmation E-mail to have been dispatched do not form part of that contract.
